Deal Trio — Terms of Service

Effective date: July 11, 2026

These Terms of Service ("Terms") govern access to and use of the Deal Trio website, application, communications and related services collectively referred to as the "Service."

Please read these Terms carefully. By creating an account, checking the agreement box, submitting a profile, requesting or accepting a conversation, sending a message, requesting an exchange of contact information or otherwise using the Service, you agree to these Terms and acknowledge the Deal Trio Privacy Policy.

If you do not agree, do not use the Service.

1. About Deal Trio

Deal Trio is a free, independently operated and unincorporated online service based in Ontario, Canada.

In these Terms, "Deal Trio," "we," "us" and "our" refer to the individual operating the Service under the Deal Trio name. That individual is the provider of the Service and the party to these Terms.

Deal Trio provides a self-directed technology platform through which:

• Individuals interested in operating, managing or supporting a business may participate as "Operators"; and
• Current or prospective business owners may participate as "Owners."

Operators and Owners are collectively referred to as "members."

The Service enables members to create identity-hidden profiles, view profiles from the other member category, request conversations, communicate through the Service and mutually agree to exchange contact information.

Deal Trio does not select candidates for members, negotiate compensation, employ Operators, represent members, verify qualifications unless expressly stated, recommend that a particular member be hired, or receive placement or success fees.

2. Eligibility

You may use the Service only if:

• You are at least 18 years old;
• You have the legal capacity to agree to these Terms;
• You are located in Canada, excluding Quebec, or the United States;
• You provide accurate, honest and current information; and
• Your use of the Service complies with applicable law.

The Service is not currently offered to residents of Quebec. You must not use the Service if you reside in Quebec.

If you use the Service on behalf of a business or organization, you represent that you have authority to act on its behalf and provide information concerning it.

Deal Trio may refuse, restrict, suspend or terminate access where eligibility cannot be established or where information appears inaccurate, misleading or fraudulent.

3. Electronic acceptance

You accept these Terms by checking the applicable agreement box and creating or using an account.

Your electronic acceptance has the same effect as a handwritten signature to the extent permitted by applicable law.

Deal Trio may record information reasonably needed to establish your acceptance, including:

• The version of the Terms accepted;
• The version of the Privacy Policy acknowledged;
• The date and time of acceptance;
• Your account identifier and email address;
• Your IP address;
• Your browser or device information; and
• The method through which acceptance was obtained.

4. Free beta service

The Service is currently provided free of charge as an early beta.

Deal Trio does not currently:

• Charge members to create or use an account;
• Process payments between members;
• Receive a commission or success fee;
• Receive a portion of salary, profits, equity or transaction proceeds; or
• Require payment to request or accept a conversation.

The Service may contain incomplete features, interruptions, errors or unexpected behaviour.

Deal Trio may modify, pause, restrict or discontinue any part of the beta at any time.

Deal Trio may introduce optional paid features in the future. No member will be charged without clear advance disclosure and affirmative agreement to the applicable price and payment terms.

5. The Service

Subject to availability, the Service may allow members to:

• Create and manage an identity-hidden profile;
• View identity-hidden profiles from the other member category;
• Request, accept, decline or withdraw conversations;
• Communicate in private message threads;
• Receive account and activity notifications;
• Request an exchange of contact information;
• Exchange contact information after mutual consent;
• End conversations;
• Report suspected misconduct;
• Block or avoid further interaction with another member; and
• Participate in referral or founding-member programs.

Deal Trio may introduce, modify, restrict, suspend or remove features without guaranteeing that any particular feature will remain available.

6. Founding-member, referral and ranking features

Deal Trio may offer referral links, founding-member numbers, rankings, profile placement or similar beta features.

These features:

• Are experimental;
• May be calculated automatically;
• May be adjusted to correct errors, duplicate accounts, fraud, abuse or manipulation;
• Have no cash value;
• Are personal and non-transferable;
• Do not guarantee profile views, requests, conversations, connections or outcomes; and
• May be modified, suspended or discontinued.

If Deal Trio states that an eligible founding member will receive "free access forever," that statement means the eligible member will not be charged a subscription fee for the core introduction features covered by the founding-member offer while those features and the Service continue to be offered.

It does not mean that:

• Deal Trio guarantees perpetual operation of the Service;
• Every existing or future feature will be free;
• Separate premium products will be included;
• Third-party products or services will be free;
• The benefit may be transferred; or
• The benefit will survive fraud, manipulation, misuse or a breach of these Terms.

7. Member-directed introductions

Members decide for themselves:

• Which profiles to consider;
• Which conversations to request;
• Which requests to accept or decline;
• What information to discuss;
• Whether to request an exchange of contact information; and
• Whether to enter any relationship or arrangement.

A profile's order, visibility, founding-member number, referral status or automated placement is not an endorsement, recommendation or representation of suitability.

Deal Trio does not guarantee that any profile, member, business or opportunity is suitable, genuine, lawful, accurate or financially viable.

8. No screening or verification

Unless Deal Trio expressly states otherwise, Deal Trio does not independently verify:

• Identity;
• Age;
• Employment history;
• Education;
• Experience;
• References;
• Professional qualifications;
• Licences;
• Criminal history;
• Immigration status or work authorization;
• Financial condition;
• Creditworthiness;
• Business ownership;
• Authority to represent a business;
• Revenue or profitability;
• Financial statements;
• Funding;
• Ability to complete a transaction; or
• Statements made in profiles or conversations.

Creating an account, displaying a profile or facilitating a conversation does not mean Deal Trio has approved, screened, endorsed or verified the member.

You must conduct your own due diligence.

9. Identity-hidden profiles

Profiles are designed to hide members' direct identities from other members before mutual connection. They are not guaranteed to be anonymous.

Before mutual connection, the normal member interface is designed not to display:

• Your full name;
• Your email address;
• Your phone number;
• Your employer;
• Your business name;
• Your website;
• Your social-media account; or
• Other direct contact information.

Another member may nevertheless identify or infer your identity from details you provide, including your location, business description, industry, experience, writing style or other contextual information.

You must keep identity-hidden profile fields free from identifying information.

Deal Trio may edit, reject, hide or redact profile content to reduce unintended identity disclosure, protect members or maintain platform integrity.

Deal Trio does not guarantee that another member will be unable to identify you.

10. Messaging and automated redaction

After a conversation request is accepted, members may communicate through a private message thread.

Before mutual connection, Deal Trio may use automated rules or tools to attempt to identify and hide:

• Email addresses;
• Phone numbers;
• Website addresses;
• Links;
• Social-media handles; and
• Other apparent contact information.

This redaction is best-effort only and is not guaranteed.

Automated systems may:

• Fail to detect identifying information;
• Incorrectly hide ordinary text;
• Fail to detect information written in an unusual form;
• Fail to recognize personal names or business names; or
• Be bypassed intentionally or accidentally.

Before mutual connection, do not include:

• Your name;
• Another person's name;
• Your employer;
• A business name;
• An address;
• Contact information;
• A website;
• A social-media account; or
• Other information that directly reveals identity.

Deal Trio is not responsible for identifying information voluntarily submitted by you or another member, or for information a redaction system fails to detect, except to the extent liability cannot legally be excluded.

11. Administrative access to messages

Deal Trio personnel and authorized service providers may access profile information, account details and message threads where reasonably necessary to:

• Operate the Service;
• Provide support;
• Moderate profiles and conversations;
• Investigate reports;
• Prevent fraud or abuse;
• Protect safety;
• Enforce these Terms;
• Diagnose technical problems;
• Respond to security incidents; or
• Comply with legal obligations.

Administrative access does not mean every profile or message is manually reviewed.

Messages are not end-to-end encrypted and should not be treated as confidential communications with a lawyer, accountant or other professional adviser.

12. Mutual exchange of contact information

A member may select "I'm ready to connect" or a similar option to request an exchange of contact information.

By making that request, you expressly authorize Deal Trio to disclose the following information to the other member if the other member also agrees:

• Your full name;
• Your email address;
• Your phone number, if provided; and
• Your city and province or state.

You may withdraw your request before the other member agrees.

Once both members agree:

• Contact information may be released automatically;
• Each member may view, save, copy or use the information;
• The information cannot be reversed or "unshared";
• Message filtering may stop;
• Members may communicate outside Deal Trio; and
• Deal Trio cannot control the recipient's subsequent handling of the information.

Members may use released information only for legitimate communications relating to the potential relationship and in accordance with applicable law.

Mutual exchange of contact information is not an endorsement or recommendation by Deal Trio.

13. User Content

"User Content" means information or material you submit through the Service, including:

• Profile information;
• Introductions;
• Business descriptions;
• Work history;
• Preferences;
• Conversation requests;
• Messages;
• Reports;
• Feedback; and
• Reasons for ending a conversation.

You retain ownership of your User Content.

You grant Deal Trio a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, redact, display, transmit, moderate and otherwise process your User Content as reasonably necessary to:

• Operate the Service;
• Display your identity-hidden profile;
• Facilitate requests and conversations;
• Reduce unintended identity disclosure;
• Send notifications;
• Investigate suspected misuse;
• Protect safety and security;
• Improve the Service;
• Preserve evidence of misuse; and
• Meet legal obligations.

This licence ends when the User Content is deleted from active systems, except for information retained as permitted under the Privacy Policy or applicable law.

You represent that:

• You have the right to submit the User Content;
• The User Content is accurate to the best of your knowledge;
• It does not violate another person's rights;
• It is not defamatory, fraudulent or materially misleading;
• It is not unlawfully confidential; and
• Its use as described in these Terms does not violate applicable law.

Deal Trio may remove or restrict User Content at its discretion where it appears inconsistent with these Terms or the purpose of the Service.

14. Prohibited conduct

You must not:

• Submit false, deceptive or materially misleading information;
• Impersonate another person or business;
• Create an account using another person's email address without authorization;
• Misrepresent your experience, qualifications, authority, ownership or opportunity;
• Attempt to identify or contact another member outside the Service before mutual connection;
• Bypass, defeat, test or manipulate contact-information filters;
• Scrape, harvest, copy, index, export, sell or resell platform information;
• Use bots, scripts or unauthorized automated tools;
• Create duplicate or fraudulent accounts;
• Manipulate referrals, rankings or founding-member benefits;
• Send spam or unrelated solicitations;
• Use member information to build a competing database or service;
• Harass, threaten, stalk, exploit or intimidate another person;
• Submit unlawful, abusive, obscene or defamatory material;
• Introduce malware or interfere with Service security;
• Attempt to access another member's account or private information;
• Use released contact information for unrelated advertising or marketing;
• Sell or disclose another member's personal information;
• Facilitate fraud, money laundering or other unlawful conduct;
• Use the Service to solicit passive investments, loans or capital;
• Offer or sell securities through the Service;
• Facilitate worker exploitation, human trafficking or unlawful immigration-fee arrangements; or
• Encourage another person to violate these Terms.

Deal Trio may investigate suspected violations and may cooperate with service providers, regulators or law-enforcement authorities where reasonably appropriate.

15. Non-discrimination

You must not use the Service to:

• Express unlawful discriminatory preferences;
• Apply unlawful selection criteria;
• Harass or retaliate against another person; or
• Make decisions prohibited by applicable human-rights, employment or civil-rights laws.

Protected characteristics may include race, colour, ancestry, ethnic origin, nationality, citizenship, religion, sex, pregnancy, sexual orientation, gender identity or expression, age, marital or family status, disability and other characteristics protected by applicable law.

Deal Trio may remove content or accounts that appear discriminatory, exploitative or unlawful.

Deal Trio does not determine whether a proposed relationship constitutes employment, independent contracting, partnership, ownership or another legal arrangement.

16. No confidential relationship

Using Deal Trio does not create a confidentiality agreement between members or between you and Deal Trio.

Do not submit or disclose through the Service:

• Trade secrets;
• Privileged communications;
• Confidential employer information;
• Sensitive financial records;
• Non-public employee or customer information;
• Government identification numbers;
• Banking information;
• Passwords;
• Detailed health information; or
• Information you are not authorized to disclose.

Members should enter into a separate confidentiality or non-disclosure agreement before exchanging sensitive business information.

Deal Trio does not guarantee that another member will keep information confidential.

17. Your due diligence

You are solely responsible for evaluating other members and proposed arrangements.

Before making a significant decision, you should consider independently:

• Confirming identity;
• Checking references;
• Verifying employment and education;
• Confirming licences and work authorization;
• Confirming business ownership and signing authority;
• Reviewing financial and business records;
• Obtaining lawful background or credit checks;
• Understanding compensation and ownership terms;
• Documenting agreements in writing; and
• Consulting qualified legal, accounting, tax, employment and financial advisers.

Do not send money, transfer property, resign from employment, disclose sensitive information or make a significant commitment based only on a Deal Trio profile or conversation.

18. No professional, employment, brokerage or agency role

Deal Trio is a self-directed technology and introduction platform only.

Deal Trio does not act as:

• An employer;
• Temporary help agency;
• Staffing firm;
• Representative;
• Agent;
• Business broker;
• Securities dealer;
• Investment adviser;
• Financial adviser;
• Accountant;
• Lawyer;
• Fiduciary;
• Partner;
• Joint venturer;
• Franchisor; or
• Guarantor.

Deal Trio does not:

• Employ Operators;
• Engage Operators as contractors;
• Make hiring decisions;
• Select candidates on behalf of Owners;
• Negotiate compensation;
• Draft member agreements;
• Determine worker classification;
• Determine whether securities laws apply;
• Verify legal compliance;
• Manage member relationships;
• Process payments between members; or
• Guarantee any outcome.

Nothing on the Service is legal, employment, tax, accounting, investment or financial advice.

19. Member arrangements

Members are solely responsible for relationships and arrangements they enter.

These may include:

• Employment;
• Independent contracting;
• Consulting;
• Salary;
• Bonuses;
• Profit sharing;
• Revenue sharing;
• Equity;
• Options;
• Partnerships;
• Ownership;
• Succession;
• Management agreements;
• Business acquisitions; or
• Other compensation and commercial structures.

Deal Trio is not a party to those arrangements and has no obligation to monitor, enforce, mediate or resolve them.

Members are responsible for compliance with applicable laws involving employment standards, compensation, worker classification, tax, securities, immigration, licensing, disclosure, corporate governance and business transactions.

The Service is not intended to facilitate passive fundraising or the public offering or sale of securities.

20. Account and sign-in security

The Service may use email-based authentication or magic links.

You are responsible for:

• Maintaining control of your email account;
• Protecting sign-in links and access codes;
• Protecting devices used to access the Service;
• Logging out of shared devices;
• Keeping account information current; and
• Promptly reporting suspected unauthorized access.

Do not forward or share a sign-in link.

Deal Trio may treat actions taken through a validly authenticated account as authorized unless Deal Trio has received notice of unauthorized access.

Suspected unauthorized access should be reported to hello@dealtrio.com.

21. Reporting, blocking and safety

You may report suspected misconduct through any reporting feature made available in the Service or by emailing hello@dealtrio.com.

Where blocking functionality is available, blocking may restrict profile visibility, conversation requests or further interaction between the affected members.

Deal Trio may:

• Review reports;
• Restrict interactions;
• Remove content;
• Close conversations;
• Suspend or terminate accounts;
• Preserve relevant records; and
• Cooperate with authorities where reasonably necessary to comply with law or protect safety.

Deal Trio does not guarantee that it will investigate or resolve every interpersonal dispute.

For immediate danger or suspected criminal activity, contact the appropriate emergency or law-enforcement authority.

22. Service communications

By creating an account, you agree to receive electronic communications reasonably necessary to provide or secure the Service, including:

• Sign-in links;
• Email verification;
• Security notices;
• Conversation requests;
• Request-status notices;
• Message notifications;
• Connection notices;
• Moderation notices;
• Account-status communications; and
• Material legal or operational notices.

During the beta, Deal Trio does not intend to send unrelated promotional or marketing email.

Service-related emails will not intentionally include unrelated promotional content.

Where an electronic message is subject to CASL, CAN-SPAM or another applicable law, Deal Trio will comply with the applicable requirements.

If Deal Trio introduces promotional communications, it will provide any required consent process, sender information, contact information and unsubscribe mechanism before sending them.

A referral link is a tool you may choose to share. Messages you independently send from your own account are your responsibility.

23. Intellectual property

Except for User Content, the Service and its associated software, design, branding, logos, text, graphics, databases, workflows and functionality are owned by or licensed to Deal Trio and are protected by applicable intellectual-property laws.

Deal Trio grants you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose and in accordance with these Terms.

You must not copy, reproduce, reverse engineer, distribute, commercially exploit or create derivative works from the Service except where applicable law expressly permits it.

24. Feedback

If you provide suggestions, ideas or feedback about Deal Trio, you authorize Deal Trio to use that feedback without restriction, payment or attribution.

This does not transfer ownership of personal information or User Content unrelated to the feedback.

25. Third-party providers and links

Deal Trio relies on third-party providers for functions that may include:

• Hosting;
• Databases;
• Authentication;
• Email delivery;
• Security;
• Storage;
• Error monitoring; and
• Technical infrastructure.

Deal Trio is not responsible for interruptions or failures caused by third parties beyond its reasonable control.

The Service may contain links to external websites. A link does not constitute endorsement, and third-party services are governed by their own terms and privacy policies.

26. Moderation, suspension and termination

Deal Trio may review, moderate, hide, restrict, suspend or terminate a:

• Profile;
• Message;
• Conversation;
• Request;
• Referral benefit;
• Founding-member benefit; or
• Account

where Deal Trio reasonably believes action is appropriate to:

• Enforce these Terms;
• Protect another person;
• Prevent fraud or abuse;
• Protect platform security;
• Respond to a report;
• Comply with law;
• Address operational risk; or
• End or modify the beta.

Deal Trio may act without advance notice where immediate action is reasonably necessary.

You may stop using the Service at any time and may request account closure by emailing hello@dealtrio.com.

Termination does not reverse information already disclosed through a mutual connection.

Sections that by their nature should continue after termination will survive, including provisions concerning User Content, member arrangements, intellectual property, disclaimers, release, liability, indemnification, disputes and retained information.

27. Platform availability

Deal Trio does not guarantee:

• Continuous availability;
• Error-free operation;
• Delivery of every notification;
• Preservation of every message;
• Accurate redaction;
• Accurate rankings;
• Compatibility with every device;
• Protection against every security threat; or
• Continued operation of the Service.

Deal Trio may perform maintenance, change providers, modify features or discontinue the Service.

Where reasonably practical, Deal Trio may provide notice of a material discontinuation, but no particular notice period is guaranteed unless required by law.

28. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available."

Deal Trio disclaims all express, implied and statutory warranties, including warranties of:

• Accuracy;
• Reliability;
• Availability;
• Security;
• Merchantability;
• Fitness for a particular purpose;
• Title;
• Non-infringement;
• Member suitability; and
• Achievement of an outcome.

Deal Trio does not warrant that any member, profile, statement, business, opportunity or arrangement is genuine, lawful, accurate, safe, suitable or financially viable.

Where a jurisdiction does not permit a particular exclusion, the exclusion applies only to the maximum extent legally permitted.

29. No guarantee of outcomes

Deal Trio does not guarantee:

• Profile visibility;
• A request;
• A response;
• A conversation;
• A connection;
• Employment;
• Compensation;
• Profit sharing;
• Equity;
• Partnership;
• Ownership;
• Financing;
• Succession;
• A business acquisition;
• Business performance; or
• Any commercial or professional result.

Member counts, rankings, referral status, profile placement or testimonials do not guarantee future results.

30. Assumption of risk and release

You understand that interacting with people online involves risks, including:

• Misrepresentation;
• Fraud;
• Harassment;
• Identity disclosure;
• Loss of confidentiality;
• Employment loss;
• Business loss;
• Financial loss;
• Personal-safety concerns; and
• Disputes between members.

You voluntarily assume the risks associated with your use of the Service and your interactions and arrangements with other members.

To the maximum extent permitted by law, you release Deal Trio and the individual operating it from claims arising primarily from:

• Another member's acts or omissions;
• Another member's statements;
• Communications or meetings outside the Service;
• Agreements between members;
• Payments or transfers between members;
• Information voluntarily disclosed by you;
• Another member's use of mutually released information; or
• A dispute between members.

This release does not apply to liability that cannot legally be released.

31. Limitation of liability

To the maximum extent permitted by applicable law, Deal Trio and the individual operating it will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including:

• Lost income;
• Lost profits;
• Lost opportunities;
• Business interruption;
• Loss of data;
• Reputational harm; or
• The cost of substitute services.

To the maximum extent permitted by law, Deal Trio's total aggregate liability arising from or relating to the Service or these Terms will not exceed the greater of:

• CAD $100; and
• The amount you paid directly to Deal Trio during the twelve months preceding the event giving rise to the claim.

During the free beta, the amount paid is ordinarily zero.

The limitations apply regardless of the legal theory asserted and even if Deal Trio was advised that damages were possible.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability arising from fraud, fraudulent misrepresentation, wilful misconduct, gross negligence where applicable, or other liability that applicable law makes non-waivable.

Deal Trio does not exclude liability for unauthorized access to personal information to the extent the access results from Deal Trio's failure to use safeguards required by applicable law.

32. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Deal Trio and the individual operating it harmless from third-party claims, losses, liabilities and reasonable legal expenses arising from:

• Your material breach of these Terms;
• Your unlawful conduct;
• User Content you submit;
• Your infringement of another person's rights;
• Your misuse of another member's information;
• Your arrangement with another member; or
• Your violation of applicable employment, tax, privacy, securities or business laws.

Deal Trio will provide reasonable notice of a covered third-party claim where practical.

This provision does not require you to indemnify Deal Trio for Deal Trio's own unlawful conduct.

33. Privacy

Deal Trio's collection, use, disclosure, retention and protection of personal information are described in the Deal Trio Privacy Policy.

The Privacy Policy forms part of your agreement concerning use of the Service.

34. Changes to these Terms

Deal Trio may update these Terms to reflect:

• Service changes;
• New features;
• Security needs;
• Provider changes;
• Legal requirements;
• Incorporation; or
• Operational changes.

The updated Terms will display a revised effective date.

Deal Trio will provide reasonable notice of material changes through the Service or by email.

Where applicable law requires renewed consent, Deal Trio will request it.

Continued use after an updated version takes effect constitutes acceptance where legally permitted.

35. Governing law and jurisdiction

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules.

Before beginning formal proceedings, you and Deal Trio agree to make reasonable efforts to address the dispute through good-faith written communication.

Dispute notices must be sent to hello@dealtrio.com.

Subject to mandatory rights that cannot legally be waived, the courts located in Ontario, Canada will have exclusive jurisdiction over disputes arising from the Service or these Terms.

Nothing in these Terms removes a right or remedy that applicable consumer, privacy, employment or other law does not permit you to waive.

36. Assignment and transfer to a corporation

You may not assign your rights under these Terms without Deal Trio's written consent.

Deal Trio may assign these Terms or transfer operation of the Service to:

• A corporation formed to operate Deal Trio;
• An affiliate;
• A successor;
• A purchaser of the Service; or
• Another operator as part of a restructuring or business transaction.

Any related handling of personal information will remain subject to the Privacy Policy and applicable law.

37. General provisions

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Deal Trio concerning the Service.

Severability. If a provision is found invalid or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will remain effective.

No waiver. Failure to enforce a provision is not a waiver of that provision.

Force majeure. Deal Trio is not responsible for delay or failure caused by events beyond its reasonable control.

Electronic communications. You consent to receive notices and communications electronically.

No relationship. These Terms do not create a partnership, joint venture, employment, agency or fiduciary relationship between you and Deal Trio.

Interpretation. Headings are for convenience only. "Including" means "including without limitation."

Currency. All dollar amounts are stated in Canadian dollars unless expressly indicated otherwise.
